STRIPO AGENT PLUGIN LICENSE
Version 1.0

Licensor: Stripo Inc
Copyright (c) 2026 Stripo Inc
All rights reserved except as expressly granted below.

1. Scope and definitions

"Software" means the parts of the Stripo Agent Plugin that the Licensor owns
or is authorized to license under these terms and distributes with this
license. These parts include the skills and prompt instructions, scripts,
host adapters, configuration, documentation, and bundled SDK and editor
validator code. Separately licensed components are excluded and are governed
by Section 6. This license does not cover other Stripo products or private
source code that is not distributed as part of the Software.

"Stripo Services" means Stripo's email creation and editing products and their
authorized APIs, MCP endpoints, and integrations, accessed under the applicable
Stripo service or product agreement.

"Permitted Purpose" means using, evaluating, developing, testing, or adapting
the Software to interact with Stripo Services or to prepare, inspect, validate,
create, edit, or manage content as part of a workflow involving Stripo Services.
It includes local and offline steps in that workflow and exporting resulting
content for use elsewhere. Each operation need not make a network request.
Mere compatibility with a Stripo data format does not make an otherwise
independent product or service a Permitted Purpose.

Permitted Purpose does not include using the Software as a general-purpose
SDK, framework, editor, validator, automation component, or other independent
technology where the primary purpose of such use is unrelated to interacting
with Stripo Services or supporting a workflow involving Stripo Services.

"You" means the individual or legal entity exercising rights under this
license. If acting for an entity, you must have authority to act for it.

2. Permission to use and adapt

Subject to these terms, the Licensor grants You a non-exclusive, worldwide,
royalty-free copyright license to download, install, run, reproduce, modify,
and create adaptations of the Software for the Permitted Purpose, and to
distribute it as described in Section 3. You may also inspect the Software
and perform security and compatibility reviews of it.

These permissions include personal, internal business, and commercial work,
including paid services for clients. You may use the Software with any agent
or host capable of supporting it, including a locally operated or hosted
agent. You may let employees, contractors, and service providers process or
run the Software on Your behalf within the permissions of this license.

You may develop an integration in Your own product that connects to Stripo
Services and uses the Software for that connection. Charging for Your product,
integration, or services is permitted where the Software's role remains within
the Permitted Purpose. This does not grant a right to sell or license the
Software or its SDK as a standalone offering.

No license fee is charged under this license. Stripo Services, agent hosts,
and other services may have separate fees and access conditions.

3. Sharing, installation, and distribution

You may copy and distribute the Software, unchanged or modified, solely to
enable the Permitted Purpose. This includes repository forks, contributions,
internal deployments, client integrations, and plugin or agent directories.
With every distributed copy or substantial portion, You must:

(a) provide this license and retain applicable copyright, attribution, and
    separately applicable license notices;
(b) clearly identify any changes You made and avoid presenting a modified
version as an official release of the Licensor; and
(c) make clear that recipients receive the Licensor's Software under this
license, without representing that You can grant broader rights in it.

Directory operators, repository hosts, and agent providers may reproduce,
host, cache, review, test, display, deliver, and install the Software and its
updates to support discovery and use for the Permitted Purpose. They may
reproduce the accompanying documentation and use the supplied plugin name
and branding to identify, describe, and promote the listing and the platform
on which it is offered, without implying an endorsement that does not exist.
Any separate agreement with the Licensor governing these activities remains
applicable.

Recipients receive their rights in the Licensor's Software directly from the
Licensor under this license. You retain any rights You own in Your original
contributions. This license does not require publication of private changes
or grant the Licensor ownership of Your contributions.

4. Uses requiring separate permission

Except as permitted by a separately applicable license or by law that cannot
be excluded by agreement, You may not:

(a) use or incorporate the Software, including its SDK or editor validator,
    in a product or service outside the Permitted Purpose;
(b) extract, repackage, sell, or offer the Software or its components as a
    standalone SDK, editor, validator, or other independent offering;
(c) use the Software to supply an independent replacement for Stripo Services;
(d) remove or obscure required license, copyright, or attribution notices; or
(e) use the Software to bypass authentication, access controls, usage limits,
or payment requirements applicable to Stripo Services.

The Licensor may authorize these uses under a separate written agreement.
These restrictions apply to the Software, not to independently developed code
that does not copy or adapt it, and do not limit the rights in Section 6.

5. Emails and other user content

The restrictions on the Software do not apply to emails, templates, images,
text, business profiles, or other user content merely because the Software
creates, processes, validates, or exports that content. This license gives
the Licensor no new ownership rights in Your content.

Rights in content, input materials, third-party assets, and AI-generated
output remain subject to their own applicable terms and law, including any
Stripo service terms. Software code copied into an output remains Software;
embedding code in an output does not remove its license conditions.

6. Separately licensed components

The distribution contains components governed by their own licenses,
including open-source dependencies and any Licensor-authored components
expressly distributed under separate terms. Their license texts and notices
may appear in accompanying files, package metadata, or source-code headers.

Those licenses govern their respective components and take precedence over
this license for those components. Nothing in this license restricts,
withdraws, or replaces rights granted under them. You must preserve the
notices and fulfill the obligations required by those licenses when using,
modifying, or distributing the relevant components.

7. Ownership, branding, and separate services

The Software is licensed, not sold. The Licensor and other relevant rights
holders retain their rights in it. Rights not expressly granted are reserved.

Except for the identification and listing uses in Section 3, this license
does not grant rights to use Stripo trademarks, logos, or branding. You may
truthfully identify compatibility with Stripo, but must not misrepresent
ownership, sponsorship, certification, or endorsement.

This license does not grant access to another person's account, data, or
credentials, or a subscription to Stripo Services. Access to and use of those
services is governed by the applicable service agreement and privacy terms,
including, where applicable:

https://stripo.email/terms-of-use/
https://stripo.email/privacy-policy/

Those terms govern the services; this license governs the Software. Nothing
here enlarges the rights in separately licensed Stripo products or services.

8. Disclaimer and limitation of liability

To the extent permitted by applicable law, the Software is provided without
warranties, express or implied, including warranties of merchantability,
fitness for a particular purpose, title, or non-infringement. The Licensor
does not promise uninterrupted operation, error-free results, continued
compatibility, support, maintenance, or updates under this license.

To the extent permitted by applicable law, the Licensor is not liable under
this license for indirect, incidental, special, consequential, or punitive
damages, or loss of profits, revenue, business opportunities, or data arising
from use of or inability to use the Software, even if advised of that risk.
Nothing in this license excludes or limits liability or rights that cannot
lawfully be excluded or limited, or overrides a separate written warranty
or service commitment made by the Licensor.

9. Term and termination

This license applies to the copy of the Software with which it is distributed
for as long as You comply with its terms. The Licensor may terminate Your
rights under this license if You materially breach it and do not remedy the
breach within 30 days after receiving written notice describing the breach.
However, the Licensor may terminate Your rights under this license immediately
upon written notice for a material breach of this license that cannot reasonably
be cured, as reasonably determined by the Licensor, or for unauthorized use by
You that materially threatens the Licensor's intellectual property, Stripo
Services, security, access controls, or trademarks.
Use outside the permissions granted here is not authorized during that period.

After termination, You must stop exercising rights in the Software and remove
copies under Your control, except copies retained as required by law or in
inaccessible routine backups until ordinarily overwritten. You may not use
those retained copies. Termination does not revoke rights in user content or
separately licensed components, or licenses of recipients who remain compliant.
Sections 4 through 10 continue to apply to the extent relevant after termination.

New license terms issued for later versions do not retroactively replace this
license for copies already received under it. Nothing here withdraws rights
previously granted under another applicable license.

Termination does not limit any other rights or remedies available to the
Licensor under applicable law or a separate agreement.

10. General provisions and additional permissions

If a provision cannot be enforced, the remaining provisions continue to apply
to the extent permitted by law. No provision limits rights that applicable
law makes non-waivable. A separate written agreement with the Licensor may
grant additional rights and prevails to the extent it expressly addresses a
conflict with this license.

Governing Law and Venue. This license and any dispute arising out of or
relating to it are governed by the laws of the State of Delaware, USA, without
regard to its conflict-of-laws rules. To the extent permitted by applicable
law, the state and federal courts located in the State of Delaware, USA shall
have exclusive jurisdiction over such disputes.

For permission to use the Software or SDK in an independent product, contact
the Licensor through the contact channels at https://stripo.email/.
