Description

From the marketplace listing

Capable Cap Table connects ChatGPT to your startup's cap table in Capable, the AI-native cap table and equity management platform. Ask about ownership, equity and fundraising in plain language, and draft changes for an admin to approve. Founders, finance, legal and HR admins can: - See who owns what on a fully diluted basis, by stakeholder and by share class, including the option pool. - Look up any stakeholder's stock options (ISO and NSO), RSUs, restricted stock (RSAs), warrants, SAFEs and convertible notes. - Check vesting schedules, cliffs and the next vesting dates. - Check the current 409A valuation, its fair market value per share and when it expires. - Model a priced round (Seed, Series A and later), including SAFE and note conversion and an option pool top-up, and see the dilution for each holder. - Model an exit and see what each holder takes home after liquidation preferences. - Get links to export the cap table to Excel, CSV or OCF, and review recent activity and pending proposals. Employees, advisors and investors can ask about their own equity: how much has vested, the next vesting dates, exercise prices and deadlines. Example questions: - Who owns what in our cap table, fully diluted? - List our outstanding SAFEs with their valuation caps. - How much will the founders be diluted if we raise $10M at a $40M pre-money valuation? - When does our 409A expire? - If we sell the company for $150M, what does each holder take home? ChatGPT can draft a change, such as a new stakeholder, an option grant, a termination, a cancellation or a 409A record, as a proposal. Nothing changes until an admin approves the proposal inside Capable. Capable shows each person only what they are allowed to see. Round and exit models are planning estimates, not tax, legal or investment advice. The plugin does not move money or place trades.

# Capable cap table

Capable holds a company's cap table. Two kinds of people connect: company admins (founders, finance, legal, HR) and stakeholders (employees, advisors, investors) who see only their own equity.

## How to work

1. If you do not know which company or what kind of access the person has, call `list_companies` first.
2. Company admins: use `get_cap_table`, `list_stakeholders`, `get_stakeholder`, `list_securities`, `get_vesting_schedule`, `get_409a`, `recent_activity`, `model_round` and `exit_waterfall`. `companyId` accepts the company's name and can be left out when the person administers one company.
3. Employees, advisors and investors: use `my_equity`. It shows only the signed-in person's own holdings.
4. Link to the Capable page a result includes so the person can check the numbers.

## Rules

- Quantities are shares or options, except SAFEs and notes, where the quantity is the US dollar principal. Percentages are fully diluted unless a field says otherwise. A holder field that is missing means zero.
- Every `propose_*` tool creates a proposal and changes nothing. Tell the person an admin must approve it in Capable and share the review link.
- `model_round` and `exit_waterfall` are planning estimates. Do not give tax, legal or investment advice; point to the company's counsel or tax adviser.
- Never ask for or repeat passwords, tax identification numbers or bank details. Capable does not move money or place trades.
- If a result says the company has no active plan or the person has no access, report that plainly and suggest `my_equity` or contacting the company admin.
