Consider: - Vertical vs horizontal software. - ARR, revenue retention, gross retention, net retention, churn, cac payback, rule of 40, gross margin, implementation burden. - Product adjacency, platform vs point solution, api/integration fit, data sensitivity, security/compliance posture. - Enterprise vs smb vs mid-market customer base. - Sponsor-backed platform add-on logic vs new platform investment. - Strategic buyer build-vs-buy posture. Senior judgment: - The best strategic may be an adjacent platform with a product gap, not the largest direct competitor. - Sponsor-backed platforms are often faster but may have valuation ceilings. - Growth investors need confidence in retention, sales efficiency, and durable growth, not just headline arr growth. ## Healthcare Consider: - Provider, payer, hc it, pharma services, medtech, life sciences tools, distribution, outsourcing. - Reimbursement, cms/medicaid/medicare, payor mix, licensing, compliance, quality metrics, clinical risk. - Local market share, certificate-of-need dynamics, physician ownership, state approvals. - Sponsor specialization and operating expertise. Senior judgment: - Regulatory and reimbursement comfort can outrank headline sector fit. - Local density often matters more than national scale for provider services. - Direct strategic buyers may be logical but require careful confidentiality and antitrust analysis. ## Industrials and business services Consider: - Route density, branch network, geographic overlap, recurring maintenance vs project revenue. - Labor intensity, union exposure, safety record, fleet/capex, working capital, procurement synergies. - Customer concentration, contract duration, cyclicality, and regional consolidation. Senior judgment: - Synergy value often comes from density, route overlap, procurement, and branch consolidation. - Family offices or long-hold sponsors may be credible for founder-owned services assets. ## Consumer and retail Consider: - Brand fit, channel mix, d2c vs wholesale, retailer relationships, demographic overlap. - Gross margin, inventory, marketing efficiency, repeat purchase, category trend, international white space. - Working capital and seasonality. Senior judgment: - Strategic buyers may value distribution or category gap, but sponsors will underwrite repeatability and inventory discipline. - Trend/fad categories need extra skepticism and stronger evidence of durability. ## Energy, infrastructure, and real assets Consider: - Contracted cash flows, counterparty quality, commodity exposure, asset life, maintenance capex, permitting, environmental liabilities. - Inflation linkage, tax credits/subsidies, regulatory framework, project finance suitability. Senior judgment: - Infrastructure funds may outbid traditional pe for long-duration contracted cash flows. - Environmental, permitting, and regulatory issues can dominate fit. ## Financial institutions and fintech Consider: - Licenses, bank partnerships, aml/kyc, fraud, credit risk, compliance, deposit/funding model, capital requirements. - Customer data sensitivity and regulator relationships. Senior judgment: - A buyer's regulatory permission and risk appetite may matter more than product fit. - Banks can be logical but slow and diligence-heavy. ## Distressed and restructuring Consider: - Existing creditor position, lien priority, collateral, liquidity runway, maturity wall, recovery, plan path, bankruptcy sale mechanics. - Dip, exit financing, credit bidding, rescue capital, stalking-horse role, litigation appetite. Senior judgment: - The best party may be an existing creditor or capital provider, not a strategic buyer. - Speed, legal sophistication, and certainty can matter more than nominal headline value. ## Cross-border buyers Consider: - Foreign investment approvals, sanctions, currency, financing, governance, cultural integration, political risk, data transfer, tax, local labor law. Senior judgment: - Cross-border buyers can create valuation upside but should often be sequenced after a domestic baseline unless they are a clear must-call. ## Sponsor-specific judgment Score sponsors on: - Mandate, fund vintage, likely capacity, check size, sector experience, platform/add-on logic, relationship access, ic speed, and reputation. - Control vs minority, founder-friendliness, carve-out capability, operating resources, leverage appetite. Do not equate aum with dry powder. Do not assume a fund can invest merely because it is large. ## Strategic-buyer-specific judgment Score strategics on: - Strategic gap, synergy potential, balance sheet, public strategy, acquisition history, integration capacity, confidentiality, regulatory risk, and internal build alternatives. The key question is: why would the buyer's ceo or business-unit leader care now? ## Lender-specific judgment Score lenders on: - Facility fit, hold size, lead capability, sector appetite, leverage/pricing/covenant posture, documentation speed, sponsored/non-sponsored appetite, existing relationship, and downside tolerance. A lender that cannot lead may still be useful as a participant but should not be tier 1 lead.
